Electronic Communication and Electronic Signatures
By visiting our website, or by submitting and/or completing a form in writing or electronically, or by communicating in writing or electronically with our firm, you consent to receive communications from us electronically, including without limitation all communications via email, text messages, and notices posted on our website. If permitted by law, you may execute agreements and otherwise indicate acceptance or consent electronically and with an electronic signature.
Consultation and Case Evaluation
We provide free consultations to all potential clients. These are used to determine if your matter is within our practice and to discuss representation options. None of this is an attorney-client relationship until a hiring agreement is executed. We reserve the right to decline representation for any reason, including an inherent conflict of interest or simply because the matter is outside our practice.
Engagement of Service and Fees
If you decide to hire our firm after your initial consultation, the terms of the representation including fees, costs, and scope of services will be specified in a written engagement agreement. As is common for most workers’ compensation and personal injury matters, we handle cases on a contingent fee basis-there are no attorneys’ fees unless we recover money for you. Court costs and expenses may be paid by the client and will be discussed before engagement. Please contact us for details specific to your matter.
Termination of Your Use of the Website and Our Services
We reserve the right to suspend or discontinue your use of our website or services at any time, with or without notice and without liability, for conduct that we believe is harmful to other users, our business, or third parties, or in violation of these Terms. You can terminate your use of our website or services at any time. Termination will not impact accrued rights or obligations under these Terms.
Governing Law, Compliance with The Law, Jurisdiction and Venue
These Terms of Use and any dispute arising out of or related to any of the above are governed by and construed in accordance with the laws of the State of North Carolina without giving effect to any principles of conflicts of law. You agree to submit to the personal jurisdiction of the state and federal courts located within New Hanover County, North Carolina and venue is proper in such courts.
Alternative Dispute Resolution and Mediation
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the use of our website, or our services, both parties agree to first attempt to resolve the matter through informal good-faith negotiations. If such a resolution cannot be reached, both parties agree to engage in mediation (in Wilmington, North Carolina in the case of Profiteer) before commencing an action for arbitration or litigation. This does not limit our right to enforce an action for injunctive or equitable relief in the appropriate court.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to render it enforceable. If modification is not feasible, the provision shall be considered severed from these Terms, and the remaining provisions shall continue to be in full force and effect.
Entire Agreement
These Terms of Use and the Privacy Policy, together with any other agreements which you may enter into with Prior, Criner & Edwards PLLC, shall constitute the entire agreement between you and the Firm in respect of your use of the website and associated services and shall, as against the Firm, supersede all prior agreements and understandings between you and the Firm.
No Waiver
Failure by us to enforce any right or provision of these Terms will not constitute a waiver of any such right or provision. All waivers by us must be in writing and executed by an authorized representative of Prior, Criner & Edwards PLLC.
Assignment
You may not assign or transfer rights or obligations under these Terms without our prior written approval. We may assign or transfer our rights and obligations with no condition, including in the case of a merger, acquisition, or asset sale.
